These Terms of Service ("Terms") govern your use of the kAIxU SuperIDE platform and all related services ("Services") provided by Skyes Over London LC ("kAIxU", "we", "us"). By accessing or using the Services you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
You must be at least 16 years old to use kAIxU. You are responsible for maintaining the security of your credentials. You must notify us immediately at security@kaixu.app if you suspect unauthorised access to your account. We are not liable for losses resulting from compromised credentials where you failed to meet this obligation.
kAIxU is a cloud-based integrated development environment. You may use the Services to write, edit, test, store, and deploy code and content for lawful purposes. You may not:

Paid plans are billed monthly or annually in advance via Stripe. All prices are listed in USD and exclude applicable taxes. You authorise us to charge your payment method on the billing date. Failure to pay may result in automatic downgrade to the Free plan.
Monthly subscriptions are non-refundable. Annual subscriptions may receive a pro-rated refund within 14 days of the annual renewal date, at our discretion. Contact billing@kaixu.app for billing disputes.
AI call limits reset on the first calendar day of each month. Unused calls do not roll over. Quota applies to both direct AI edits and background embedding/indexing operations.
You retain full ownership of all code, text, and content you create or store in kAIxU. We do not claim any licence over your content beyond what is necessary to provide the Services (storing, transmitting, and displaying your content to you).
Output generated by the AI assistant is provided to you as-is. You are responsible for reviewing AI output before use. We make no representation that AI output is original, accurate, or free of third-party intellectual property claims.
The kAIxU platform, including its UI, APIs, gateway infrastructure, and all related software, is the exclusive property of Skyes Over London LC and is protected by intellectual property law. You may not copy, modify, or redistribute any part of the platform.
Each party agrees to keep the other's confidential information (including product features, pricing not publicly disclosed, technical architecture) strictly confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of these Terms for 3 years.
We target the uptime commitments described in our SLA. The Free plan carries no uptime commitment. Paid plans are entitled to service credits as described in the SLA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIXU'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KAIXU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) USD $100. IN NO EVENT SHALL KAIXU BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless kAIxU, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party rights.
You may close your account at any time from the IDE settings panel. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your workspace data is retained for 30 days during which you may export it, then permanently deleted.
We may update these Terms. Material changes will be notified by email at least 30 days before taking effect. Continued use constitutes acceptance. If you do not accept updated Terms, close your account before the effective date.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in accordance with JAMS rules, except either party may seek injunctive relief in any court of competent jurisdiction. Enterprise customers may negotiate alternative dispute provisions via signed agreements.
